Terms of Service

These Terms of Service ("Terms") govern your access to and use of SecurdFor.Me (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• Broker and dealer accounts require approval before activation. We may approve, reject, or request more information at our discretion, and are not obligated to explain a rejection.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You're responsible for activity that occurs under your account.

2. What the Platform Does

SecurdFor.Me connects brokers, who post listings describing a client's desired vehicle, with dealers, who submit sealed bids to fulfill that listing. We provide the software and communication tools that make this matching possible. We are not a party to any transaction between a broker and a dealer, and we do not handle payment, financing, titling, or delivery of any vehicle.

3. Listings & Bids

• Brokers are responsible for the accuracy of listing details, including client requirements, location, and search radius.
• Dealers are responsible for the accuracy of bid details, including pricing, fees, and vehicle availability.
• Submitting or accepting a bid does not itself create a legally binding contract to sell or buy - the deal must still be finalized by the parties outside the Service. Separately, every bid on the platform is treated as "Binding" in a platform sense: both the broker and dealer are expected to honor the agreed terms in good faith. That expectation is enforced by SecurdFor.Me, not by contract law - not honoring it can result in removal from the platform, but does not on its own create a legal obligation to either party.
• A broker may close a listing at any time, with or without accepting a bid, including listings that have been open without resolution for an extended period.
• We reserve the right to remove any listing or bid that violates these Terms.

4. Prohibited Conduct

You agree not to:

• Submit fraudulent, fake, or "shill" bids intended to manipulate pricing or manufacture false competition.
• Misrepresent your identity, business, licensing status, or the vehicle/listing details you provide.
• Use information obtained through the Service (such as contact details revealed after a bid is accepted) for purposes unrelated to completing that specific deal, including unsolicited marketing.
• Attempt to circumvent the Service's matching or approval process, or interfere with its normal operation.
• Use the Service for any unlawful purpose.

5. Fees

Accepting a bid currently applies a $0.00 platform fee. This is a promotional rate during our early access period and is subject to change; we will provide notice before introducing or changing fees for existing users. Any fee a broker separately requires from a dealer as a condition of a listing is set and disclosed by that broker, not by SecurdFor.Me.

7. Suspension & Termination

We may suspend or terminate your account at our discretion, including for violations of these Terms, suspected fraudulent activity, shill bidding, or misuse of the Service. Suspended accounts cannot log in until reactivated. We may reject an application without providing a reason. You may stop using the Service and request account closure at any time by contacting us.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY LISTING WILL RECEIVE BIDS, THAT ANY BID WILL BE ACCEPTED, OR THAT ANY DEAL BETWEEN A BROKER AND DEALER WILL BE COMPLETED. WE DO NOT VERIFY DEALER OR BROKER LICENSING, INSURANCE, OR LEGAL AUTHORITY TO TRANSACT, AND WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, ON OR OFF THE PLATFORM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURDFOR.ME AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION BETWEEN USERS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

10. Indemnification

You agree to indemnify and hold SecurdFor.Me harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or any transaction or dispute between you and another user.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in New York.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
